Terms & Conditions

The Wellcome Snakebite Innovation Prize (the “Prize”) is run by Challenge Works, part of Nesta, funded by the Wellcome Trust (the “Funder”). Please read these terms and conditions and all additional information on the Prize website carefully before submitting an entry to the Prize. By submitting an entry, you accept these terms and conditions and agree to comply with them. If you are registering or submitting an entry on behalf of one or more organisations or a team, you undertake to Challenge Works that you have the authority to bind each of them and that you will be responsible for ensuring that they comply. References to “we”, “us” and “our” in these Terms and Conditions are references to Challenge Works.

1. Participating in the Prize

1.1 These terms and conditions apply to you and to any partners in relation to your application to and participation in the Prize. All application information is available in the Innovator Handbook.

1.2 To be eligible, entries must be complete, in English, must comply with the Prize Handbook, Eligibility Requirements and these Terms and Conditions. Entries must be submitted between relevant notified periods. Challenge Works is not responsible for entries which are lost, incomplete, damaged or late due to computer, network or telecommunications failures.

1.3 The Prize is open to organisations subject to meeting the Eligibility Requirements of the Prize.

1.4 Entries will be assessed against the Eligibility Requirements and Judging Criteria set out on the Prize website and Prize Handbook. The judges’ and/or Challenge Works decisions about eligibility, shortlisting and the Prize awards are final and not subject to appeal. We reserve the right at our sole discretion to refuse any entry or to make no award if none of the entries meet our required standards.

1.5 We may vary the form or substance of the Prize (including deadlines, event dates, and the number of entries selected for each phase) as we deem appropriate in the circumstances. We may suspend or withdraw the Prize if funding from the Funder is withdrawn or in our reasonable opinion we feel that the Prize will no longer achieve its aims.

1.6 We reserve the right at our sole discretion to remove you from the Prize if you do not comply with these terms & conditions, if we have reason to believe you have cheated or behave in a way which is disruptive, inappropriate, or potentially dangerous, or if you fail to participate fully or do anything which may damage the reputation of any of Challenge Works or the Funder. Please notify us in writing if you decide to withdraw from the Prize for any reason.

1.7 We will use the contact details you provide to contact you about the Prize. All communications must be in English. If you don’t respond to any communication within 14 days, we may treat you as having withdrawn from the Prize.

2. Your Promises to Us

2.1 To participate in the Prize, you represent, warrant, and shall ensure that:

  • You satisfy the relevant Eligibility Requirements and all information submitted by you is true, accurate and complete. We reserve the right to ask for additional evidence of claims made by you, to validate claims by any means we see fit and/or to reject claims at our sole discretion;

  • Your entry is your own original idea and does not infringe any intellectual property or other third party rights or breach any contractual obligation;

  • You have, or will obtain, all authorisations, consents and permissions necessary to submit your entry and carry out your proposal;

  • You will act lawfully, ethically and in good faith and comply with the rules of the Prize and any relevant laws, regulations, guidelines, data protection, modern slavery, ethical guidelines and codes of practice;

  • In addition to the policies specifically referred to in these terms and conditions, you will also comply with the Funder’s research policies as set out in Appendix A when carrying out any activities funded by a prize;

  • You will comply with our reasonable instructions while participating in the Prize, including in relation to health & safety and security;

  • Use of Animals: If any element of your application (or any work funded by a prize)involves the use of animals (or previously collected samples of animal tissue) you must:

    • ensure that all such animal work is conducted and assessed by people with appropriate training/experience;

    • review the guidelines produced by The National Centre for the Replacement, Refinement and Reduction of Animals in Research (NC3R) and, prior to commencing such animal work, carry out an assessment of how to; replace the use of animals (where practicable), reduce the numbers of animals used, and refine the work in order to minimise the pain and suffering caused;

    • prior to commencing the relevant animal work, implement the findings of the assessment referred to above; and

    • where such animal work is conducted outside the United Kingdom, ensure it is, as a minimum standard, carried out in accordance with relevant technical advice and guidance provided by the UK Home Office.

3. Prize Awards

3.1 Grant Agreement: If you are selected to be awarded funds, you will be required to enter into a formal grant agreement with Challenge Works before any funds are payable.

3.2 Use of prize awards: Any funds awarded must only be used in relation to innovations that improve snakebite patient outcomes. You must comply with all reasonable monitoring requirements specified to verify the proper use of funds. Challenge Works reserves the right to impose additional conditions if appropriate in our reasonable opinion. Awards will be paid in pounds sterling and the recipient is responsible for payment of tax and other charges.

3.3 Clawback: Awarded funds may be clawed back if it emerges that you failed to comply with these terms and conditions, or if the funds are used for improper purposes.

4. Intellectual Property

4.1 Ownership: You will retain all intellectual property ownership in your entry, results and materials generated by you while participating in the Prize. You shall have sole responsibility, at your own cost, for any protection and/or enforcement of your intellectual property.

4.2 Public Benefit: To reflect the size of the prize, and the charitable nature of the Funder must, the ultimate winners of the Prize (as a condition of their grant), commit to disseminating the funded outputs in accordance with the Funder’s Open Access Policy and/or commercialising the intellectual property generated, which commercialisation will be subject to Funder’s prior written consent and standard revenue sharing requirements as set out in their Intellectual Property Policy.

5. Information and Publicity

5.1 We will use information which you provide, including your personal details, to process your entry to the Prize, to administer the Prize, to evaluate the Prize and to let you know about other Nesta and Challenge Works events and activities. We may share your personal information with the Funder and with our partners and contractors helping to run the Prize, subject to confidentiality and data protection obligations. Some of these organisations may process your information in countries outside of the UK or European Economic Area (EEA) where data protection laws are not the same as in the UK and/or the EEA. 5.2 We may carry out publicity and promotion for the Prize and publish our research and evaluation in relation to the Prize. You agree to participate in publicity for the Prize and consent to the use of your organisation’s name, logo, a summary of your proposal, and photographs/recordings of your participation in the Prize in promotion and publications in any media and online. A summary of the prize results must be published or otherwise disseminated in an appropriate form. Before publication, we will take into account your concerns about confidentiality and intellectual property rights in your entry.

5.3 Any public statements made by a shortlisted entrant or winner in relation to the Prize during the Prize and for the following year must acknowledge the support of Challenge Works and the Funder and must be approved by Challenge Works and the Funder in advance. The Funders and Challenge Works media office must be consulted at least ten working days before the release of any press statement about the Prize. You must also contact the funders and Challenge Works media office immediately if you become aware of anything related to the Prize that may have an adverse reputational impact on you, any organisations you are in a team with, the Funder or Challenge Works.

6. Limitation of Liability

6.1 To the extent permitted by applicable law, Challenge Works and the Funder excludes all liability for any direct or indirect loss or liability, costs, claims, taxes, charges or expenses arising from your participation in the Prize or your reliance on statements made or advice given by us, our partners or contractors. If you submit any materials or items as part of your entry to the Prize, this is at your own risk. Challenge Works gives no undertakings to keep safely, maintain or return any materials or items.

6.2 Without prejudice to Clause 6.1, our (and the Funder’s) maximum cumulative liability to you in connection with the Prize is limited to £500. Nothing in these terms and conditions excludes or limits our liability for death or personal injury caused by negligence or fraudulent misrepresentation.

7. Force Majeure

Neither Challenge Works nor its partners shall be liable for any delay or failure to perform obligations pursuant to these terms if such failure results from events or circumstances beyond reasonable control.

8. Governing Law and Jurisdiction

These terms and conditions shall be governed by and interpreted in accordance with the laws of England and Wales and you hereby submit to the exclusive jurisdiction of the English courts.
